WOODBRIDGE TOWNSHIP SENIOR BILLIARDS CLUB BY-LAWS

Article 1 – The Club

          Section 1: The Club shall be known as the Woodbridge Town-

         ship Senior Billiards Club.

Section 2: Membership shall be open to any resident of Woodbridge Township who is sixty (60) years of age or older when submitting their membership application form.

Section 3: All members who join after September 1, 2017 are required to be members of the Woodbridge Community Center. 

 

Article 2 Purpose

          Section 1: The Club provides the opportunity to promote learn-

         ing and develop skills in the game of billiards.

          Section 2: The Club affords the members the opportunity to 

          socialize and make new acquaintances.

          Section 3: The Club is devoted to prolonging and improving the 

          mental and physical well being of its membership.

          Section 4: The Club provides a means whereby members 

          can engage in meaningful community activities.

 

Article 3 – Membership

Section 1: There shall be three (3) classes of membership.

               a) General member also known as an individual member.

               b) Honorary Active Members consists of members that reach

              85 years of age or due to a permanent disabled condition.

                  1.  Such requests are to be submitted to the Executive

                   board for approval.

2.  An honorary member will be exempt from paying dues and will be allowed to vote on any matters concerning the club and will be included in a quorum.

3.  An honorary member will maintain an emeritus status that shall include all other benefits.

                   4.  Becoming an honorary member is not mandatory.

                   5.  Becoming an honorary member will be effective on

January 1st of the following year.

6.  Upon request an individual member reaching the age of 85, must be current with their dues for five (5) consecutive years.

               c) Honorary Inactive Members consists of members who have

                  become  inactive in Club activities due to a medical of

                  physical condition and have been current with dues for five

                  (5) consecutive years.

1.    Such requests are to be submitted to the Executive Board for determination or may be approached by the Executive Board for the members consideration.

                   2. The member will be exempt from paying annual dues.

3.    The member will be allowed to attend any Club meetings, but will not be allowed to vote on any matters concerning the Club. 

                   4. The member will not be counted in the Club's member-

                       ship cap.

5.    The member will be invited to attend Club functions, but will pay

the established member fee, if any. 

6.    The member will be allowed to visit and play in the Billiard Room

periodically.

Section 2: Individual membership dues shall be $60.00 annually.

Section 3: Dues for the following year are payable by the end of December of the current year.

Section 4: Failure to maintain dues and/or attend meetings shall result in termination of individual membership after Article 3 Section 5 and 7 are implemented and no reply is received in 30 days.

Section 5: A certified letter will be sent to any general member to confirm status of membership.

Section 6: Based on the occupancy of the club room and number of billiard tables, membership shall be capped at 125.  New members will be added only by Article 3-Section 4 or by attrition and/or as circumstances permit to be reviewed and approved by the Board.

Section 7: All general members must attend at least (3) three member-

ship meetings per calendar year. Failure to comply will result in termination of membership, after Article 3 Section 4 and 5 are implemented.  An appeal may be made to the Executive Board in writing, if any extenuating circumstances were responsible for violating this requirement.  All Charter members are exempt from this requirement.

 

 

 

 

Section 8:  All members must comply with the principles and provisions outlined in the Clubs Code of Conduct at all times when participating in all Club related activities and events.  Any member who violates any provision of this Code is subject to disciplinary action imposed by the Clubs Executive Board after a joint review of the specific violation(s) is conducted with the Ethics Committee.

Disciplinary action, depending on the nature and frequency of the violation(s), shall include but not be limited to the following:

1. Providing initial warning to the member.

2.    Suspension from the use of the Clubs billiard room facility and participation in any Club events for a period of time to be determined by the Executive Board.

3.    Termination of membership from the Club for repeated or major offenses.

The Executive Board reserves the right to resolve all situations or matters relevant to this By-Law that are not covered by the above.

 
Article 4 - Voting

Section1: Each member shall be entitled to one vote on matters concerning the Club, including but not limited to:

1. By-Laws

2. Liquidation, dissolution, merger, or consolidation of the Club

3. Election of officers

4. Articles brought before the membership by the Executive Board or the  members.

Section 2: In the event of liquidation members have first choice to bid or purchase any equipment belonging to the Club.  

 

Article 5 - Meetings

Section 1: Regular meetings shall be held on second Wednesday of each month.  No meetings will be held in July and August.  Depending upon circumstances or situations that have a bearing on the starting time that are not under the Clubs control, a starting time that benefits the members can be established or changed at the discretion of the Executive Board.

Section 2: An annual meeting to nominate officers of the Club shall be held in the month of November if there is no opposition for any office.  If there is opposition, the election will be held in December by the membership secret ballot. The time and place shall be determined by the Executive Board, with notification to all the members.

          Section 3: Special meetings may be called by the President of

         the club or at the request of a majority of the individual mem-

         bers

Section 4: All meetings shall take place at the Woodbridge Community Center or at such place as the Executive Board may select. 

Section 5: Notice of all meetings shall be delivered by e-mail, USPS, phone or notice on the bulletin board.  Notification shall be extended not less than three (3) days prior to any special meeting and not less than seven (7) days prior to a monthly meeting.

Section 6: The presence of forty-five percent (45%) of the members entitled to vote at such meetings shall constitute a quorum.  If a quorum is not present at any meeting of members, a majority of members present may motion to cancel the meeting.  The Executive Board may request from members present to conduct an informal meeting of general affairs of the Club but no voting on club business.

Section 7: A vote of a simple majority of individual members present showing a quorum shall be necessary for the adoption of any matter except as noted in Article 12, Section 1.

Section 8: Voting on general matters at meetings may only be done in person.  Voting for the annual elections of Club Officers may be cast in person or by absentee ballots.

Section 9: Any member of the Executive Board who is absent for three (3) consecutive meetings without prior approval of the president shall be removed from office.

Section 10: Any vacancy in the Executive Board shall be filled for the unexpired portion of the term by the remaining members of the executive board.

 

Article 6 – Executive Board

Section 1: The Executive Board shall consist of five (5) members and will hold office for one (1) year.

          Section 2: The officers of the Woodbridge Township Senior Bill-

         iards Club shall be: President – 1st Vice President – 2nd Vice

         President – Treasurer - Secretary.

 

Article 7 – Duties of the Officers

          Section 1: President

Shall be the chief executive officer of the Club

Supervise all the business, affairs, and property of the Club

Make sure that all orders and resolutions of the Executive Board are carried out

Preside over all meetings of the Club

Be a member of all Committees with the exception of the Nomi-

nating and Audit Committees.

          Section 2: 1st Vice President

    a) Assist the President in his/her obligations

    b) Fulfill the responsibilities of the President in his/her

    absense.

    c) Other powers as determined by the Executive Board

          Section 3: 2nd Vice President

    a) Assist the President in his/her obligations

    b) Fulfill the position and responsibilities of the 1st Vice President

        in the absence of the President.

    c) Fulfill the responsibilities of the President in the absence of the  

        President and the 1st Vice President.

          Section 4: Treasurer

    a) Maintain the financial accounts of the Club

    b) Provide statements at regular membership meetings

    c) All checks issued must bear the signature of one (1)

        Executive Board Member. Any check of $500.00 or more

        must include the signature of two (2) Executive Board

        Members. No check issued to an Executive Board Member

        shall be signed by that recipient of the funds.

    d) The account of the Treasurers financial statement is open    

         to the public and subject to an internal annual audit.

          Section 5: Secretary

    a) Record all proceedings of the meetings of the Club.

    b) Provide notice of all meetings of the Club to officers and general    

        membership

    c) Generate minutes of all meetings of the Club

    d) Shall be in charge of all correspondence of the Club

 

Article 8: ELECTION PROCEDURES

          Section 1: November Meeting - The committee shall present a

          slate of nominees, if any, for Executive Office. Only at the Nov-

          ember meeting will nominations be accepted.  If more than one

          (1) person is nominated for any Executive Office, an election will

          will be held by secret ballot at the December meeting.  If there is

          no opposition for any Executive Office, the Secretary will cast

          (1) vote for the slate of nominees for the Executive Board and

          thereby conclude the election.

         

          Section 2: - December Meeting - An annual election of Club Off-

          cers if necessary will be held by membership. Voting in this

          election will be cast in person or by absentee ballot. The Presi-

          dent will select from the membership two (2) tellers to tally the 

          votes. One (1) of the tellers will count the votes, and the other

          will record them. Then reverse the positions and report the find-

          ings to the President. The President will report the list of elected

          officers and thereby conclude the election.

          Section 3: - Elected officers will take office on January 1st of the

          following year.

 

Article 9: STANDING COMMITTEES

         Section 1: Apparel Committee - Responsible for

         presenting, purchasing, collecting payments for clothing and

         apparell of the Club.

         Section 2: Audit Committee - Perform an audit of the Club’s

         bank statements, checks, ledgers and invoices on an annual

         basis.

Section 3: By-Laws Committee - Responsible for updating all changes to the By-Laws.

         Section 4: Captains Committee - Responsible for club rulings 

decisions regarding league play.

Section 5: Ethics Committee - Responsible for overseeing the adherence to the Club’s Code of Conduct and Rules.

Section 6: Fellowship Committee - Tend to the good and welfare of the members of the Club.

Section 7: Hospitality Committee - Organize and provide refreshments for meetings and other activities of the Club.

Section 8: Maintenance Committee - Responsible for maintaining the cleanliness of the Billiard Room and equipment.

Section 9: Membership Committee – Responsible for interviewing new applicants for membership of the club.

Section 10: Nominating Committee - Prepare a slate of Officers for annual elections every year when there are vacancies or challenges of positions on the Executive Board.

Section 11: Program Committee - Responsible for providing speakers at the monthly meetings.

Section 12: Public Relations Committee - Responsible for the communications with outside media.

Section 13: Supplies (billiards) Committee - Responsible for purchasing billiards supplies and equipment for members and the club.

Section 14: Tournament Committee – Responsible for organizing all tournaments.

Section 15: Trophy Committee – Responsible for ordering trophies and awards for all tournaments and events.

Section 16: Water/Soda Committee – Responsible for purchasing and maintaining the inventory of soda and water.

Section 17: Web-site Committee - Responsible for all posting and maintenance of the Club’s official web-site.

         Section 18: Other committees shall be appointed as needed and

approved by the President and/or the Executive Board.

         

Article 10: - POLITICS

          Section 1: The Club shall not endorse any candidate for Public

         Office.

          Section 2: No politics shall come before this Club.                

 

 

 

ARTICLE 11: RESTRICTIONS

Section 1: The Woodbridge Township Senior Billiards Club intends to remain independent and devoted to furthering the interests of seniors, and carrying out the purpose as set forth in Article 2 of the Club By-Laws.

Section 2: Club open to seniors who have reached the age of (60) sixty years and in compliance with Article 1-Section 2.

          Section 3: New members will be recruited as space allows

Section 4: Upon dissolution of the Woodbridge Township Senior Billiards Club, all remaining funds shall be distributed to one or more qualified charitable organizations selected by the membership.

 

ARTICLE 12: AMENDMENTS

Section 1: Changes to the By-Laws may be made by amendments and a vote of (2/3) two-thirds of a quorum of the general membership in attendance.

Section 2: Proposed amendments may only be voted on at a general membership meeting.

Section 3: Any changes in the by-laws will be read one time at the membership meeting prior to voting upon for adoption, and voted upon at the following meeting in compliance with Article 12-Section 1

 

 

 

ARTICLE 13: BY-LAWS

Section 1: These By-Laws shall be enforced upon the approval of a (2/3) two-thirds of a quorum of the members at a general membership meeting

Section 2: Any alterations, amendments, additions, deletions, or adjustments will be made after acceptance of the By-Laws and in accordance with Article 12.

All members as of April 14, 2004 will be classified as a Charter Member and the list of names will be on file with the Secretary.

 

 

Indemnification

Members participating in the activities of the Woodbridge Township Senior Billiards Club shall hold the Woodbridge Township Senior Billiards Club and Woodbridge Township harmless for any injury or damage, financial, physical or otherwise.
